1. Acceptance of Terms

By accessing or using ChatPixel ("Service"), operated by ChatPixel ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ChatPixel is an AI search optimization platform that provides website analysis, structured data generation, keyword monitoring, and client management tools. The Service includes a reseller funnel allowing users to sell AI SEO services to their own clients.

3. Account Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 18 years old to use the Service.

4. Subscription & Payments

Paid plans are billed in advance on a recurring basis (monthly or annually) via Stripe. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Founding member pricing is locked in for as long as your subscription remains active.

5. Reseller Terms

As a reseller, you may create your own pricing plans and sell AI SEO services to your own clients using the ChatPixel platform. You are solely responsible for your client relationships, support, and compliance with applicable laws. Revenue from client subscriptions is paid directly to your connected Stripe account.

6. Acceptable Use

You agree not to: (a) use the Service for unlawful purposes; (b) attempt to gain unauthorized access to any systems; (c) transmit malware or harmful code; (d) scrape or harvest data beyond normal use; (e) misrepresent the Service's capabilities to your clients; (f) use the Service to send unsolicited bulk communications.

7. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by the Company. You retain ownership of your data and content. By using the Service, you grant us a limited license to process your data as necessary to provide the Service.

8. Data & Privacy

Your use of the Service is governed by our Privacy Policy. We process personal data in accordance with applicable data protection laws.

9. Third-Party Services

The Service integrates with third-party services including Stripe, ElevenLabs, and various AI platforms. Your use of these integrations is subject to their respective terms of service. We are not responsible for third-party service availability or changes.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee that AI chatbots will recommend any particular business or that optimization scores will result in specific outcomes.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

12. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account for violation of these Terms. Upon termination, your access to the Service will cease and your data may be deleted after 30 days.

13. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Texas, United States. Any disputes shall be resolved in the courts of Texas.
